1. Introduction and Acceptance

These Website Terms and Conditions ("Terms") govern your access to and use of this website (the "Website") operated by Taqdeer Estimating Intelligence FZC, a free zone company incorporated and licensed in Emirate of Sharjah, United Arab Emirates, by the Free Zone Authority under License No. 4432171.01, with its registered address at Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates ("Taqdeer", "we", "us" or "our").
These Terms govern only your access to and use of the public Website. They do not govern your access to or use of Taqdeer's software platform, subscription services, paid services, professional services, or any other products or services made available by Taqdeer. Any such products or services are subject to the applicable separate agreement and/or terms entered into or accepted by the relevant customer.

By accessing, browsing or using the Website, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Website.
2. Definitions.
In these Terms, "Website" means the Taqdeer website, including all pages, content, functionality and materials made available through it.

You may use the Website only in compliance with applicable law and these Terms.
If you access or use the Website on behalf of a company, organization or other entity, you represent that you are authorized to act on its behalf in connection with your use of the Website.

7.1 Ownership.

7.2 Limited License.
Subject to your compliance with these Terms, Taqdeer grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Website and its content solely for your personal or internal business purposes.
No other right, title, interest or license is granted to you, whether expressly or by implication.
7.3 Trademarks.
The names "Taqdeer" and the Arabic equivalent "تقدير", our logos, and all related trade names, product names, service names, designs, slogans and other brand identifiers are trademarks or other proprietary identifiers of Taqdeer, its affiliates or its licensors.
You may not use such trademarks or identifiers without our prior written permission.
8. User Submissions and Enquiries
8.1 User Submissions.
If you submit information, enquiries, documents or other materials through the Website, you represent and warrant that:
- a. you are entitled and authorized to provide such information or materials;
- b. the submission does not infringe the intellectual property, confidentiality, privacy or other rights of any third party;
- c. the submission is not unlawful, defamatory, fraudulent, misleading or otherwise prohibited by applicable law; and
- d. the submission does not contain malware, malicious code or other harmful material.
8.2 Use of Submissions.
Taqdeer may use and process information submitted through the Website to respond to your enquiry, communicate with you and for the purposes described in our Privacy Policy.
8.3 Confidential Information.
Unless expressly requested by Taqdeer through an appropriate channel, you should not submit confidential, proprietary or commercially sensitive information through general Website contact forms or enquiry channels.
Submitting information through the Website does not, by itself, create any confidential, fiduciary, professional, advisory or contractual relationship between you and Taqdeer.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAQDEER DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
TAQDEER DOES NOT WARRANT THAT:
- a. THE WEBSITE WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE;
- b. DEFECTS WILL BE CORRECTED;
- c. THE WEBSITE OR THE SERVERS THAT MAKE IT AVAILABLE WILL BE FREE FROM VIRUSES, MALWARE OR OTHER HARMFUL COMPONENTS; OR
- d. WEBSITE CONTENT WILL AT ALL TIMES BE COMPLETE, ACCURATE, CURRENT OR SUITABLE FOR ANY PARTICULAR PURPOSE.
11. Limitation of Liability
11.1 Excluded Losses.
Taqdeer and its affiliates, licensors, officers, directors, employees and representatives will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profit, revenue, business, opportunity, anticipated savings, data, goodwill or reputation, arising out of or in connection with your access to, use of, reliance on or inability to use the Website.
11.2 Website Use.
Taqdeer will not be liable for any loss or damage arising out of or in connection with:
- a. any reliance placed on information or content made available through the Website;
- b. any interruption, suspension, withdrawal, unavailability, error or technical failure affecting the Website;
- c. any virus, malware or other technologically harmful material affecting your device, systems, software or data in connection with your use of the Website; or
- d. any third-party website, content, product or service accessed through, linked to, integrated with or otherwise made available in connection with the Website.
11.3 Non-Excludable Liability.
Nothing in these Terms excludes or limits Taqdeer's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
11.4 Liability Cap.
Taqdeer's total aggregate liability arising out of or in connection with these Terms or your use of the Website shall not exceed 300 AED.
12. Governing Law and Dispute Resolution
12.1 Governing Law.
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Dubai International Financial Centre ("DIFC").
12.2 Dispute Resolution.
Any dispute, controversy, claim arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, performance, breach or termination of access to the Website, shall be referred to and finally resolved by arbitration under the Rules of the Dubai International Arbitration Centre ("DIAC"), which Rules are deemed incorporated by reference into this clause. The tribunal shall consist of one arbitrator. The seat of arbitration shall be the Dubai International Financial Centre. The language of arbitration shall be English.
13. General Provisions.
13.1 Changes to These Terms.
We may amend these Terms from time to time. Any revised Terms will be published on the Website together with an updated "Last Updated" date.
13.2 Severability.
If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be limited or modified to the minimum extent necessary and the remaining provisions will continue in full force and effect.
13.3 Entire Agreement.
These Terms constitute the entire agreement between you and Taqdeer solely in relation to your access to and use of the Website.
For the avoidance of doubt, any subscription to or use of Taqdeer's software platform, products or services is subject to the applicable separate Subscription Agreement or other agreement entered into with Taqdeer.
13.4 No Waiver.
No failure or delay by Taqdeer in exercising any right or remedy under these Terms will constitute a waiver of that or any other right or remedy.
13.5 Survival.
Any provision of these Terms which by its nature is intended to survive termination or cessation of your use of the Website will continue in effect, including provisions concerning intellectual property, disclaimers, limitation of liability and dispute resolution.
